This deal marks the largest technology-sector merger since Broadcom’s $69 billion purchase of VMware in 2023 and is the first major transaction reviewed under EU antitrust chief Teresa Ribera.

To address competition concerns, Synopsys has reportedly agreed to sell its Optical Solutions Group and Ansys’ PowerArtist business.

Similar remedies are expected to be offered to the UK competition watchdog, which raised concerns last week about potential impacts on innovation and pricing.

The European Commission, acting as the antitrust enforcer for the 27-country EU, is set to conclude its preliminary review of the deal by January 10, 2025.
