Federal Judge Temporarily Freezes Paramount's Acquisition of Warner Bros. Discovery

A coalition of states led by California won a temporary court order pausing Paramount's proposed $110 billion acquisition of Warner Bros. Discovery after arguing that allowing the merger to proceed would cause irreparable harm to competition, Reuters reported.

California and 11 other states filed suit on July 13, arguing that the merger would create a media giant with excessive market power capable of raising prices in the film and television industries.
The states argued that, if the transaction were completed, Paramount would begin integrating operations, cutting jobs, and sharing sensitive business information with Warner Bros. Discovery—actions that would be difficult to reverse if the merger were ultimately ruled unlawful.
The lawsuit, filed in federal court in Oakland, California, could significantly delay Paramount Chief Executive Officer David Ellison's effort to strengthen the company as a competitor to Netflix and Disney.
U.S. District Judge Araceli Martínez-Olguín ordered a 14-day pause on the transaction and scheduled a hearing for August 3 to consider extending the injunction while the lawsuit proceeds.
